A fresh report showed that the Gary Gensler-led SEC filed a lawsuit against Do Kwon and TFL on Thursday over the failure of UST — now represented as USTC — in May 2022. This adds to the list of different individual and class action lawsuits slammed against the on-the-run CEO, Do Kwon. 

Particularly, the securities watchdog charges the above-mentioned defendants because they disobeyed the registration and anti-fraud provisions of the Securities Act and the Exchange Act. The SEC filed the crypto lawsuit in the U.S. District Court for the Southern District of New York

The SEC contends that the Singapore-based blockchain company and its CEO orchestrated a multi-billion dollar crypto asset securities fraud involving an algorithmic stablecoin (UST) and other crypto asset securities. 

SEC Chair Gary Gensler said, “We allege that Terraform and Do Kwon failed to provide the public with full, fair, and truthful disclosure as required for a host of crypto asset securities, most notably for LUNA and Terra USD,” said SEC Chair Gary Gensler. “We also allege that they committed fraud by repeating false and misleading statements to build trust before causing devastating losses for investors.”

Per the update, the financial regulator which recently fined Kraken $30 million for offering an unregistered security staking program added that “Terraform and Kwon raised billions of dollars from investors by offering and selling an inter-connected suite of crypto asset securities, many in unregistered transactions.” 

Notably, this lawsuit comes nine months after TerraClassicUSD (USTC), formerly known as TerraUSD (UST) depegged and lost parity with a dollar due to an error in project management and many other unclear factors. 

The dramatic collapse of this supposed stablecoin led to the massive plunging of its sister token LUNA (now called LUNC). Roughly $40 billion was lost in the immediate Terra ecosystem whereas the incident wiped out about 60 billion dollars from the broader crypto market.

The present woes of Celsius Network, Voyager Digital, and Three Arrows Capital (3AC) were caused by the depegging of UST. Hopefully, the SEC is able to get justice for the many victims of the Terra ecosystem meltdown.

LUNC is yet to recover from the historic crash it recorded. But the project which is now community-led is slowly revitalizing as many notable developments surround it including the Terra Classic token burning initiative to reduce the asset’s total supply to 10 billion and staking to increase token scarcity.

The recent lawsuit filed against Kwon was reported by a legal news platform Law360. The suit also involves two Terraform Labs executives. They are being charged with violating the Racketeer Influenced and Corrupt Organizations Act, inflating the price of UST and publicizing false information to mislead the public over the allegation of money laundering, worth $80 million, leveled against them.

The report reads in part:

“Defendants touted the stability of the coins and guaranteed 20% annual returns on coins deposited in Terraform Labs’ high-yield savings application on the Terra blockchain — the Anchor Protocol.”

According to the report, the lawsuit was filed by Matthew Albright in New York federal court, on behalf of all the victims of the TerraUSD (UST) collapse. It’s also revealed in the report that Plaintiff bought the stablecoin UST between May 1st, 2019, and June 15th, 2022. Aside from the defendants mentioned above, the suit also named some ventures as defendants.

The plaintiff alleged in the filing that some defendants initiated various money laundering activities to move assets worth millions of dollars into their respective wallets. He further alleged that UST was designed to serve as a Ponzi scheme.

Law360 added:

“As long as demand for UST remained high, Terra’s UST/Luna exchange mechanism will keep the supply of Luna relatively low and sustain a Luna price that could support UST’s peg…

“But as soon as the demand for UST fell and users began redeeming UST for Luna in large quantities, Luna could enter a vicious cycle of hyperinflation that would collapse its own price and UST with it.”

Meanwhile, a Terraform Labs spokesperson, who reached out to TimesTabloid via an e-mail, wrote, “Terraform Labs will not comment on pending litigation other than to say it believes the claims are meritless and it intends to defend against them fully.”

TerraUSD (UST), the algorithmic stablecoin of Terra blockchain, lost its peg. At the same time, Terra (LUNA), which is now renamed Terra Classic (LUNC), dropped from around $100 to fractions of a Cent within a few days.

$12 Million Reimbursement for LUNA Victims

According to InsurAce in a blog post, $12 million will be spent to compensate 155 investors that were grossly affected by the Terra collapse.

InsurAce was specifically launched in April 2021 to provide risk protection services to the decentralized finance (DeFi) industry. It’s meant to insure users’ investments against sudden collapse or bankruptcy such as that of Terra ecosystem.

Due to the increasing insurance claims, InsurAce has to spend about $11.7 million to compensate investors. It’s worth noting that the firm only received relatively $94,000 in insurance premiums from UST investors.

The DeFi insurance firm has a token codenamed INSUR and specially created for investors and stakers to vote on various issues. It was a voting process that found 155 claims eligible, while 18 claims were found ineligible.

Reacting to the development, Dan Thomson, the CMO of InsurAce, said:

“The decentralized voting was conducted by InsurAce’s community of Claims Assessors who hold and stake INSUR Tokens. And at the conclusion of the Voting process, they approved a total of 155 UST de-peg Cover claims and 18 rejected as not ineligible in line with the Stablecoin de-peg Cover terms and conditions.”

Also, the CMO disclosed that the firm has a plan to compensate investors and stakers since the money used for compensations belongs to them.

Kwon who has been ignoring these attacks has recently stopped playing cool as he responded aggressively to a certain Tuesday tweet, saying that investors did not buy UST directly from him.

Earlier today in a Twitter discussion that started as a joke, a certain user turned it into an attack on the Terra creator and CEO of TerraForm Labs.

Do Kwon jokingly made a comment that stated, “buy me dinner first.” This user with the name Ash WSB then commented, “Sure, after you refund the UST holders.” 

In response to this hard comment, Do Kwon, the Terra founder said, “Bro you didn’t buy any UST from me + I’ll pass on the dinner thx.”

Do Kwon Speaks

Earlier this month, the Terra inventor finally submitted himself to an open interview with Coinage, a crypto media startup. In the interview, he noted that the collapse of the Terra ecosystem in May was just a case of a failed project. This contradicts the belief that it was a planned incident.

It is worth noting that several investigations and lawsuits have been filed against Do Kwon and TerraForm Labs. As the investigation intensified, more than five Korea-based exchanges and homes of TerraForm labs officials were raided by the Korean prosecutors.

Amidst all of these investigations and class action lawsuits, the stablecoin creator noted that there have been no charges from the Korean government. To obtain more legal advice and backing, Do Kwon recently hired an attorney.

In the first interview since the historic collapse of the Terra ecosystem, Kwon, who named his only child Luna, revealed that a leak within the Terraform Labs contributed to the major crash.

Kwon said the timing of the planned withdrawal of UST liquidity from the stablecoin’s main Curve pool was supposed to be known by only TFL employees. The drop in liquidity later made it easy for the attacker to make UST lose its $1 peg.

In the course of the interview, he told Coinage that there were probably some information flows they were not aware of to this day.

Plans to Airdrop Additional Funds

Speaking on his future with Terra 2.0, Kwon said his intention is to keep building on the new blockchain. However, he believes that he will no longer be at the center of everything, unlike the previous blockchain that collapsed.

Do Kwon noted:

“I think the core of that community still lives on and I think they are primed to launch interesting things on top of Terra 2.0 independent of the things that we do…

“I’m always going to be doing things on Terra and for the Terra community, this is my home and this is where I feel like there’s the brightest future and most of Terraform Labs is still in.”

Although some executives and the legal team abandoned the firm in the middle of the crash, only two developers jumped the ship, Kwon stated.

The Terraform Labs founder is also considering options to airdrop additional funds to victims of the UST collapse, using the Luna Foundation Guard (LFG) reserves of 311 BTC worth around $6.7 million and a lump of Avalanche (AVAX) tokens that were not spent during the fiasco.

Do Kwon said as soon as the UST holders are properly accounted for, the plan is to liquidate the LFG’s holdings and start the process of making the airdrops get to smallholders.

CEO Do Kwon is the face of the biggest and most controversial collapse in the history of cryptocurrency. Following the massive decline in the price of Terra’s ecosystem tokens, Luna, and stablecoin UST in May, several lawsuits have been filed against the project creator and TerraForm Labs.  

According to a Wednesday report by Yonhap News TV, Do Kwon has hired a legal attorney from a Korea-based law firm. The report added that he could be preparing for the prosecution’s investigation. 

The report said; “According to the legal community on the 17th, CEO Kwon has appointed lawyers from a domestic law firm and is preparing for the prosecution’s investigation. He is said to have recently submitted a letter of appointment to an attorney at the Seoul Southern District Prosecutors’ Office, where he is investigating the case.”

However, this development comes after the Terra founder, Do Kwon said in an interview with Coinage, a crypto media company that there have been no charges from Korean authorities regarding the Luna and UST collapse. In his words, “we’ve never been in touch with the investigators. They’ve never charged us with anything.”

Do Kwon Legal Woes 

It is worth noting that Do Kwon’s judicial woes keep increasing as a result of multiple lawsuits from different angles including class actions. Meanwhile, officials of TerraForm Labs have been banned from leaving Korea while the home of Terra’s co-founder, Daniel Shin was raided alongside Korea-based exchanges by Korean authorities. 

In June, Scott+Scott Attorneys filed a class action lawsuit against various players perceived to be involved in the unforgettable Terra (LUNA) fall. The renowned litigation firm filed the case in the U.S. District Court for the Northern District of California. The lawsuit primarily targets Do Kwon, and TerraForm Labs. 

Similarly, Bragar Eagel & Squire, P.C., a nationally recognized law firm with several offices in the United States, filed a class action lawsuit against Do Kwon, TerraForm Labs, and other defendants.

However, Do Kwon denies that he defrauded investors or planned the collapse of LUNA and UST as speculated by some players in the industry. He reiterated that the unusual descent of the tokens was a case of a project that didn’t work out.

In an exclusive interview with Coinage anchored by Zack Guzman, Terra founder Do Kwon disclosed that he and TerraForm Labs, the troubled crypto company, have never been in touch with South Korean investigators, adding that no charges have been put forward against them. 

This statement was made after the interviewer asked Do Kwon if he will be returning to Korea. While the Terra inventor is currently residing in Singapore, Daniel Shin, Terra co-founder, and manager of Chai crypto company, and other TerraForm Labs officials and employees are still in Korea.

Do Kwon said in the interview, “It’s kind of hard to make that decision because we’ve never been in touch with the investigators. They’ve never charged us with anything.”

Howbeit, several investors and litigation firms have filed numerous lawsuits including class actions against Do Kwon and TerraForm Labs. Recently, affected New Yorkers were urged by the New York Attorney General’s Office to file complaints about Terra and related crypto frauds.  

Worthy of note is that the home of one of Terra’s co-founders Daniel Shin was raided by Korean prosecutors in search of facts and pieces of evidence about the biggest crypto failure to date. Also, other officials and employees have been banned from traveling out of Korea.

When asked if he was over-confident about the Terra project or was lying about the eventuality of the collapse,  considering that he knew the risk of de-pegging and that almost all algorithmic stablecoins in history failed, Kwon responded, “we tried to build the best currency in the world but it just didn’t work.”

Do Kwon added that “It was supposed to be a stablecoin, but didn’t remain stable. It was started to become industry’s standard, I bet big, but I think I lost…”

On the whole, Do Kwon holds that the unfortunate Terra incident was not a case of fraud but rather a project that happened to fail.

The implosion of the Terra (LUNA) ecosystem in May was an event that will remain in the memory of crypto enthusiasts. The ecosystem crashed with the life savings of many people, which led to a number of reported suicides.

The total amount lost in the implosion was relatively $45 billion. The devastating event shook the entire crypto market and other assets, including Bitcoin (BTC) and Ethereum (ETH), are still struggling to recover from the negative impact.

Since the incident happened, Korean prosecutors and other international bodies, have been scrutinizing Terraform Labs founders, including their present and past employees.

It can also be recalled that Kwon confidently told The World Street Journal back in June that he didn’t run a fraudulent project contrary to what many people insinuated.

Do Kwon said, “I made confident bets and made confident statements on behalf of UST because I believed in its resilience and its value proposition. I’ve since lost these bets, but my actions 100% match my words. There is a difference between failing and running a fraud.”

He also said, “I have great confidence in our ability to build back even stronger than we once were. Many builders are in the process of relaunching their apps on the new chain.”

The South Korean prosecutors, which are investigating the collapse of TerraUSD (UST) and Terra (LUNA), have reportedly launched a forced investigation into the issuer of the tokens, Do-Hyung Kwon.

Do Kwon’s Accusations

Going by the report, Terraform Labs CEO Do Kwon is accused of issuing cryptocurrencies without letting investors know that the prices of the digital currencies, UST and LUNA, could crash.

Kwon and others involved in the development of UST and LUNA are also accused of violating the pseudo-receipt law of ‘blocking’ the investment by telling investors to buy LUNA tokens and stake them for the interest of about 20%.

Although the Co-founder Shin Hyun-Seong was also accused of the same, his position was not related to the current situation because he ended the partnership with Kwon in March 2022, the report stated.

On the 20th of July, prosecutors seized and searched 15 places, including Shin’s home and seven local crypto exchanges. At the moment, prosecutors are analyzing the transaction details of UST and LUNA via a search and seizure in the domestic exchange.

According to the report, early investors and affiliates of Terraform Labs (TFL) were also included in the search and seizure targets. Once the analysis of the confiscated material is complete, officials will commence the investigation.

In relation to Terra’s collapse in May, Bragar Eagel & Squire P.C. law firm has initiated a class action lawsuit against Do Kwon, TerraForm Labs, Jump Crypto, Jump Trading LLC, Three Arrows Capital (3AC), and Nicholas Platias, in the United States District Court for the Northern District of California.

Primarily, the case contends that Do Kwon and TerraForm Labs violated Exchange Acts by deceiving retail investors and causing them to purchase Terra Tokens at manipulated prices. Also, it is said that TerraForm Labs failed to register all Terra Tokens hence, violated Securities Acts.

Per the update, other defendants in the case include Republic Capital, Republic Maximal LLC, Tribe Capital, DFinance Capital, DFinance Technologies, and GSR/GSR Markets Limited. 

The class action lawsuit is on behalf of all individuals and entities who purchased any Terra-related digital asset between May 20, 2021, and May 25, 2022. This date span is the “Class Period” of the lawsuit. 

Therefore, only the investors that acquired Terra tokens during this Class Period are encouraged to reach out to the firm and participate in the class action. Interested and eligible investors have until August 19, 2022, to apply to the United States District Court for the Northern District of California, to be appointed as lead plaintiffs in the lawsuit.

To note, the considered Terra ecosystem tokens as revealed in the announcement comprise TerraUSD (UST), LUNA (now called LUNC), KRT, ANC, WHALE, ASTRO, APPOLO, XDEFI, MINE, aUST, vUST, MIR, Mirrored Assets (e.g. mBTC, mETH, mVIXY, mTSLA, etc.), Liquidity Pool tokens (e.g. UST-mVIXY-LP, bLUNA-LUNA-LP, XDEFI-UST-LP, etc.), and/or Bonded Assets (e.g. bLUNA and bETH).

More Lawsuits in Response to Terra Collapse

May 2021 happened to be a rough month for investors in Terra tokens, especially those who accumulated LUNA and TerraUSD (UST). Several individuals and entities recorded outrageous losses following the de-pegging of the supposed stablecoin, UST. 

This de-pegging scenario further led to the fall of LUNA (now known as LUNC) to an all-time low. While the price of UST plunged by 91%, the price of LUNA dropped by a huge 99.7%, between May 7, 2022, and May 12, 2022, and is yet to rebound.

In turn, numerous lawsuits have been filed against the project founder, Do Kwon, and the entire TerraForm Labs company. Similarly, a series of investigations by the Korean authorities and the U.S. government is in motion. The Bragar Eagel & Squire class action lawsuit comes after Scott+Scott Attorneys filed a similar lawsuit.
