Crypto analyst Amelie (@_Crypto_Barbie) recently highlighted a prospectus filing from Evernorth Holdings Inc. that has caught the attention of XRP investors.
She called it a massive expansion, noting that the XRP treasury company could soon buy more XRP. The filing could set the stage for $132.2 million flowing directly into XRP markets.
Details of Evernorth’s Filing
On October 19, Evernorth filed a 424B3 prospectus with the SEC. The filing covers 11,499,992 shares of Class A Common Stock, issuable upon exercise of Public Warrants at $11.50 per share. As of October 16, 2026, XRPN traded at $15.45. The warrants traded at $4.16 each.
This is a warrant registration, not a direct stock sale. Evernorth receives no proceeds unless warrant holders choose to exercise. If all 11,499,992 warrants are exercised, Evernorth collects $132.2 million in cash.

What Makes the Filing Notable?
Evernorth’s business model makes the destination of that cash clear. The company was built specifically as an institutional XRP treasury vehicle. It raised over $1 billion at launch to purchase XRP on the open market, and holds 473 million tokens. Any new capital that flows in through warrant exercises follows the same mandate.
Evernorth CEO Asheesh Birla has stated the company aims to grow XRP per share through lending, liquidity provisioning, and DeFi yield strategies. Warrant-driven capital adds directly to that balance sheet. More capital means more XRP purchases.
The Conditions That Must Be Met
Warrant exercise is not guaranteed. Holders only benefit from exercising when XRPN trades above $11.50. At $15.45, that condition is currently met. However, the stock must maintain that premium for exercise activity to continue.
Evernorth can also trigger a forced redemption if XRPN trades above $18 for 20 out of 30 consecutive trading days. The price surged far above that level just before the Nasdaq listing, but it has retraced. At that price, warrant holders must exercise or lose their warrants entirely. That mechanism could accelerate the timeline significantly.
The Realistic Outcome
Full exercise of all 11.5 million warrants is unlikely. Partial exercise, however, still generates tens of millions in new capital. Each dollar collected goes toward a company employing active strategies to increase XRP’s value.
The filing itself changes nothing immediately. It registers the shares so that exercise is legally possible. What happens next depends on where XRPN trades in the coming weeks.
