Evernorth is now one major shareholder vote away from completing its proposed transition into a publicly traded XRP treasury company, giving new significance to a recent tweet from crypto analyst Dark Defender.
The analyst linked Evernorth’s latest announcement to its XRP accumulation strategy and suggested the company’s next phase could be XRP’s available market supply.
However, while several of the developments cited are confirmed, Evernorth has not yet completed its Nasdaq listing, and the company has not confirmed that its latest teaser represents the end of its accumulation phase.

Evernorth Clears SEC Registration Hurdle
Dark Defender wrote that the development came in the same week that the SEC “waved them through,” referring to Evernorth’s Form S-4 registration statement becoming effective on August 27.
The distinction is important. The SEC declaring the registration statement effective does not mean that the regulator approved the merger, endorsed Evernorth’s business model, or approved XRP as an investment. Instead, the S-4’s effectiveness cleared a regulatory step that allows Armada Acquisition Corp. II to proceed with the shareholder vote on the proposed transaction.
The next major event is scheduled for September 30, 2026, when Armada shareholders of record as of August 20 will vote on the proposed business combination. If shareholders approve the transaction and the remaining closing requirements are satisfied, Evernorth expects the combined company to become publicly traded on Nasdaq under the ticker XRPN.
This means Dark Defender was broadly correct in describing the company as being one shareholder vote away from its planned Nasdaq debut. However, saying the XRP treasury is already “trading on Nasdaq” would be premature. The listing remains conditional on completing the transaction and Nasdaq’s listing requirements.
What The Shareholder Vote Means
The September 30 vote is a critical step because Evernorth is being created through a business combination with Armada, a publicly listed special purpose acquisition company.
If Armada shareholders approve the transaction, the deal can move toward closing, subject to customary conditions. Evernorth has said the transaction is expected to close in late Q3 or early Q4 2026.
The proposed structure would give public-market investors exposure to an actively managed XRP treasury. Evernorth says it plans not only to hold XRP but also to deploy capital into XRP-based infrastructure and pursue strategies intended to increase XRP per share over time. Its investors include Ripple, Arrington Capital, SBI Group, Pantera Capital, Kraken and GSR, among others.

Dark Defender Links The Development To XRP Supply
Dark Defender also highlighted a post from EvernorthXRP stating, “Someone new will be joining the Evernorth story. Get ready.”
The analyst interpreted the message as evidence that Evernorth may be moving beyond its quieter accumulation phase. He wrote that a treasury company has “one job: buying quietly,” before adding, “You only start talking when the quiet part is done.”
He then concluded that an “XRP supply shock is inevitable.”
That final claim remains Dark Defender’s analysis, not a confirmed outcome. Evernorth has disclosed an XRP-focused treasury strategy, and reports based on its transaction documents have put the planned XRP holdings at roughly 473 million XRP under the stated assumptions.
If Evernorth continues accumulating XRP, those purchases could reduce the amount of XRP available for trading. However, the size and timing of any potential supply impact will depend on future purchases, treasury activity, market liquidity, and whether Evernorth retains or deploys its holdings.
